Item 2.02 Results of Operations and Financial Condition
On February 6, 2014, Tempur Sealy International, Inc. (the “Company”) issued a press release to announce its financial results for the fourth quarter and year ended December 31, 2013 and issue financial guidance for 2014. Subsequently and in preparation of the Company’s 2013 Annual Report on Form 10-K, an adjustment to previously reported income attributable to non-controlling interests was identified by Management. This adjustment has been appropriately reflected in the audited financial statements included in the 2013 Annual Report on Form 10-K, which was filed with the Securities and Exchange Commission on February 21, 2014. This adjustment does not change 2013 net sales, adjusted net income or adjusted earnings per common share from the information disclosed in the February 6, 2014 press release.
