Item 8.01

Other Events.

On December 10, 2018, Red Hat, Inc., a Delaware corporation (the “Company”), issued a press release announcing that it had established a record date as of the close of business on December 11, 2018, and a special meeting date of January 16, 2019, for a meeting of its stockholders to, among other things, consider and vote on a proposal to adopt the previously announced Agreement and Plan of Merger, dated as of October 28, 2018, by and among the Company, International Business Machines Corporation (“IBM”) and Socrates Acquisition Corp., a wholly-owned subsidiary of IBM, pursuant to which IBM will acquire the Company for $190.00 per share in an all-cash transaction.
